(A) XXX GmbH (the “Company” or “XXX”) is an independent consulting firm, specialized in the needs of financial market participants in the electronic trading, clearing and settlement of securities and derivatives (the "Business").
(B) Seller is the legal and beneficial owner of the shareholding in the Company and in pursuit of strategic decisions the Seller intends to sell his share to the Buyer according to the terms and conditions provided in this Share Purchase Agreement (the "Agreement").
(C) The Buyer is active in the business-management and IT advisory business and intends to expand its business in Europe.
(D) The Seller desires to sell and transfer his shareholding to the Buyer, and the Buyer desires to purchase the shareholding from the Seller, in each case on the terms and subject to the conditions of this Agreement (such purchase and sale together with the further transactions provided hereunder, collectively, the “Acquisition”).
