SERVICE AGREEMENT
1. EMPLOYMENT
The DIRECTOR has been appointed as DIRECTOR of the Company on the terms and con-ditions set out in this Service Agreement.
2. RESPONSIBILITIES AND DUTIES
2.1 The DIRECTOR’s employment is governed by this Service Agreement.
2.2 The DIRECTOR shall perform his duties in accordance with applicable German law, the provisions of the articles of association of the Company and in accordance with such general and special directions and instructions (including, but not limited to, the Duties and Respon-sibilities of the DIRECTOR set out in Appendix I ), which may be given to him by the shareholders of the Company or the board of directors from time to time.
