4. LEASE PRICE AND PAYMENT
4.1 The Lessee shall pay to the Lessor the sum of 1,714,000 THB (One Million Seven Hundred, Fourteen Thousand Thai Baht) hereinafter referred to as (the “Lease Price”) for the Lease of the Leased Land Plot and use of the Common Facilities throughout the Lease Term.
4.2 The payment of the Lease Price shall be made pursuant to the terms of the Lease Payment Schedule as attached hereto as Schedule “D”. Upon the date whereupon the the Final Payment upon the Lease Price is due to be paid by the Lessee per Schedule “D”, the Parties shall convene at the relevant land office in Phang Nga Province for registration of the Lease into the name of Lessee per Clause 8.
5. LEASE TERM
5.1 The term of the Lease shall be a period of 30 (thirty) years or the maximum period as permitted by Thai law for the time being (the “Lease Term”) commencing from the registration date of the Lease of the Leased Land Plot into the name of the Lessee with the relevant Land Office in Phang Nga.
5.2 The registration of the Lease shall be made pursuant to Clause 8.
6. RENEWED LEASE TERMS
6.1 The Lessor irrevocably and unconditionally represents and warrants that the Lessee shall have an absolute right to exercise the first option to renew the Lease for a further period of 30 (thirty) years or the maximum period as permitted by Thai law for the time being (the “First Renewed Lease Term”) by serving a notice of intention to renew the Lease in writing to the Lessor at least 90 (ninety) days prior to the expiration of the Lease Term.
6.2 Subject to the serving of the Lessee’s notice of intention to renew the Lease in accordance with Clause 6.1, the Lessor agrees to renew this Agreement for the First Renewed Lease Term on the same terms and conditions of this Agreement.
6.3 In addition to the right to have the Lease renewed for the First Renewed Lease Term, the Lessor irrevocably and unconditionally represents and warrants that the Lessee shall have an absolute right to exercise the second option to renew the Lease after the First Renewed Lease Term for a final period of 30 (thirty) years or the maximum period as permitted by law for the time being (the “Second Renewed Lease Term”) by serving a notice of intention to renew the Lease in writing on the Lessor at least 90 (ninety) days prior to the expiration of the First Renewed Lease T
