(3) Payments being made hereunder shall be paid by XXX AG in Euro within four weeks upon receipt of a proper invoice to a banking institute specifically nominated for the payment by SERVICE PROVIDER.

(4) If legally required, XXX AG shall be obliged to promptly pay any value added tax in addition to the service charges as set out here above. In cooperation with the competent tax authorities, both parties to this Agreement shall approach all reasonable and possible actions to arrange for the settlement of any value added tax and of any withholding tax without actual payments to be made hereunder.

(5) SERVICE PROVIDER shall be obliged to provide proof of costs and detailed documen-tation at least once a year. Instead of a detailed description in the invoices of such charges and of the service category to which they related, SERVICE PROVIDER shall have the right to prepare annual documentation from which the respective information can be derived.

(6) XXX AG shall have the right to inspect at its own costs, through a mutually acceptable auditor, the books of SERVICE PROVIDER as far as may be nec-essary to verify the charges made under this Agreement.
