13.1.This Agreement shall commence on the Start Date and shall continue in force for an initial twenty four (24) month period (unless stated otherwise on the Front Sheet) and shall automatically renew for further twelve month periods at the end of the Term, unless terminated by the Customer or Scout7 in accordance with clause 14 or by the Customer or Scout7 giving the other party 90 (ninety) days' prior written notice to expire with effect on the Renewal Date.13.2.The Customer and Scout7 shall use best endeavours to meet to negotiate terms for renewal of this Agreement such meeting to take place no more than 120 days, but no less than 90 days, prior to the Renewal Date. At such meeting, the parties shall negotiate in a good faith to reach agreement on the Fees to be charged by Scout7 to the Customer after the Renewal Date.13.3.If neither party serves notice to terminate the Agreement in accordance with clause 13.1 and/or the parties do not meet and/or reach an agreement in accordance with clause 13.2 , then Scout7 may increase the Fees to be charged after the Renewal Date.
