(d) Distributor shall not remove or make or permit any alterations in or to any Manufacturer IP, tags, labels or other identifying markings placed by Manufacturer on any of the Products, their packages or containers, unless required by applicable law and agreed to by Manufacturer.
(e) If the Products or Manufacturer IP, or the operation thereof, becomes, or in Distributor’s business judgment are likely to become, the subject of a claim of infringement of a patent, copyright, trade secret, trademark, trade name and/or other intellectual property right, or the subject of an action upon such a claim, Manufacturer shall, at Manufacturer’s sole expense, to do any one or more of the following at Distributor’s sole option: (1) procure for Distributor or its customers the right to continue to use the Products and Manufacturer IP, or (2) replace or modify the Products and Manufacturer IP so that they become non-infringing upon their return to Manufacturer at Manufacturer’s request, or (3) repay to Distributor the price paid by Distributor for such Products upon their return to Manufacturer at Manufacturer’s request and expense.
