The Parties agree that, irrespective of the detailed structure of a Business, they intend to share in the profit derived from each Business equally.

It is acknowledged that each Party may bring a specific skill, resource or other benefit to a Business to a greater or lesser extent but overall the contributions will be deemed to be equal across all Businesses. The Parties may not share financial costs and expenses equally as the contributions may be different.

If one Party is primarily responsible for receiving revenue from a Business, it will ensure that the other Party promptly receives its equal share of such revenue. The Parties will be transparent about the revenue, costs and expenses incurred in respect of a Business.

Each Party agrees that none of its senior officers or employees will be entitled to take a specific salary from revenues attributable to a Business or pay sums to them or affiliated companies for services without the consent of the other Party, where the intention includes a desire artificially to raise the proportionate share of revenue or profit due to a Party.
