My comment:

I am afraid the word "tÃ¤tigkeitspflichtig" does not exist. It is a neologistic combination of "Taetigkeit" (activity, job, task) and "verpflfichtet" (liable)

The expression could mean" liable to an activity ", so "taetigkeitspflichtiger Gesellschafter" could mean "liable partner".

... (do what it takes ;-) - schlage grundsätzlich auch erstmal den englischen Satzbau vor; statt 'limitation' gehen dann evtl. auch 'restriction' oder 'retrenchment' (nicht unüblich in Business English). Falls die folgende Handlung nicht 100%ig bindend ist, sondern lediglich schnellstmöglich erwartet wird, geht evtl. auch 'expected to...'
