Yes, I believe this makes for better English sense, although often "� la disposition de" would mean "at the disposal of", here, upon looking at this phrase closely, it SEEMS that the general meeting (or General Assembly *Routledge's CD Business Dictionary F-E, E-F) makes the decision here, thus I would be quite sure of this along with Bertrand.
