CONTEXTO: "beneficiarios (según esta definido en la Regla 1 y siguientes de la Ley del Mercado de Valores)".
ACLARACIONES: Según la Ley del Mercado de Valores de USA (Security Exchange) "beneficial ownership" es todo tenedor de títulos o acciones (ya sea una persona física o jurídica).

En principio tienes razón, pero si tomas el texto de la ley encuentras que a partir de la Regla 1 se enumeran una serie de reglas, párrafos y subpárrafos en los cuales se van definiendo los distintos tipos de "beneficial ownership", por lo que si vien estoy seguro que tu apreciación es correcta en cuanto a la literalidad del término, pienso que la traducción podría ser siguientes, dado el contexto.

My comment:

beneficial owner me suena a "Equity" esa parte del Derecho anglosajón que divide la propiedad en "legal interests" and "equitable interests".

"as then under the Security Exchange Law" me suena a un reglamento (by-law) que estaba administrado por la ley of Security Exchange... corrígeme si estoy metiendo la pata... es que las Acts que son leyes promulgadas por el Poder Legislativo suelen otorgar al Ejecutivo (ministros, etc) el poder para promulgar leyes menores (regulations and by-laws) - la ley principal u orgánica (the Act) suele llamarse "enabling Act".

Si alguien ve que estoy errando, por favor hágamelo saber.
